This is an agreement between you or the entity you represent (which will be referred to in this document as you or your) and Appetra Ltd (which will be referred to in this document as Appetra Ltd, Appetra, us or our) that details the terms of using our CRM.
Acceptance of terms
In order to accept these terms and conditions you must be at least 18 guardian. You may only use this system for the purposes that it was designed for which is managing interactions with your customers. If you do not accept all the terms and conditions in this terms of service document or you do not fulfil the requirements stipulated in these terms and conditions then do not use Appetra CRM.
Modification of terms of service
We may update or modify this Terms of Service document at any time. By continuing to use Appetra CRM you signify that you have read and accept any future updates or modifications to our Terms of Service.
Description of service
Appetra CRM is an online cloud based SaaS (Software as a Service) customer relationship management software program that is delivered via a web browser.
How you may access the service
You may only ever access Appetra CRM via a web browser such as Chrome, Firefox, Safari, Internet Explorer or Edge. You may not access Appetra CRM (whether it's frontend or backend databases) via any other method including but not limited to terminals (such as putty, CMD etc) or SQL graphical user interfaces.
Usage restriction limits based on subscription plans
You agree not to use more of the system’s resources other than detailed in your subscription plan. This includes but is not limited to, the amount of users you sign up to the system under your account, the amount of leads, contacts and accounts or any other limitations as defined in your subscription plan.
User sign up obligations
You must use true, accurate and update information about each user. You must enter any updates to this information (such as change of company name or first name/surnames) or we can terminate the service.
User Accounts and Administrators
Administrators (known within Appetra CRM as admin) are responsible for the sign up of additional users in their organisation. Administrators are responsible for how their users use the system and ensuring they comply with our terms of service. As an admin you may give other users admin permissions which will give them the same degree of control as you have over your account including that they may be able to delete your account, cancel your subscription or update your card and payment details. It is your responsibility to decide what other users you give admin access to and you must accept all implications of providing them admin access. If you lose control over your account due to the actions of others you have given admin access to, Appetra CRM may be able to reinstate your control of your account and admin privileges if you are able to provide us satisfactory evidence that you have the right to do so and provide acceptable identification to prove who you are and that you are the admin account holder.
Security
You and your users are responsible for ensuring confidentiality of the passwords used. They must use suitable passwords that are not easy to crack or guess (for example a mixture of uppercase, lowercase and non-alphanumeric passwords). It is your responsibility to ensure this is done and not the responsibility of Appetra Ltd. Appetra has no control over what passwords you use.
Personal information and privacy
All personal information you provide to Appetra Ltd and enter into Appetra CRM is governed by our privacy policy. By using our CRM you signal that you agree with both our terms of service and our privacy policy. You are responsible for all the data you control in your account and agree not to give other users access to your personal account. We are not responsible for any loss or damage to you incurred as a result of unauthorised access to or use of your account by anyone else.
Fees, payments and subscriptions
Our CRM is available under various plans such as Silver, Gold or Platinum. You will be billed for these subscriptions either monthly or annually. Payment is taken at the beginning of each subscription period. Your subscription will be automatically renewed at the end of each billing period. You may cancel your subscription at any time. Upon cancellation you will still have access to the system until the end of the billing period as you have already paid for access to the system for this period. Then at the end of the billing period, if you have cancelled your subscription, your subscription will not be automatically renewed. If you have not cancelled your subscription via the facility we provide before the end of your subscription billing period then this will be taken as your authorisation for us to bill you and take payment via your card on file for the subsequent billing period. If your subscription is automatically renewed then we will use the same card used for your previous subscription payment unless you have updated your payment card details via the facility we provide for updating card payments. We reserve the right to occasionally change the prices of any of our subscription plans or change the CRM features included in these plans such as either taking away features or adding new features at any time. Any price changes we action will not affect you until your next billing cycle.
Restrictions of use
By agreeing to use our CRM you will do so legally and adhere to the laws of your country. By signing up other users within your account you agree to obtain their consent to entering their personal data. You agree to use the data you enter into our system in accordance with the relevant data privacy laws of your country, for example GDPR (General Data Protection Regulation). You will not use the system for any illegal use, harassment of others, phishing or spamming. Any such use may result in termination of your account by Appetra Ltd. You must be a legal entity, such as a legitimate individual (as in a law abiding adult), company, charity or other legitimate entity to use this system. Use of this system is prohibited for any illegal entities such as organised criminals, hackers, gangs or terrorist organisations. If such illegal entities are found to be using this system, their account or accounts may be terminated. Appetra Ltd reserves the right to terminate the account of any user of Appetra CRM at any time at its sole discretion.
Inactive Accounts
If an account is inactive for more than 6 months and payment is not being received for that account (e.g. after a free trial has ended, a subscription has been cancelled or an account suspended because no payment has been received for its subscription) then we reserve the right to permanently delete all data related to that account without warning.
Data Ownership
You own all data that you enter into our CRM. We do not have any right to use, copy, publish or distribute any data entered into the system by you or your system users. We will only ever copy or access your data for the purposes of maintaining the system such as data backups, to handle your account and provide you customer support (we will always ask your permission to access your account for providing customer support first) or for legal purposes.
Trademarks, copyrights and intellectual property
The name Appetra, Appetra CRM and the Appetra logo are all property of Appetra Ltd. All aspects of our CRM and website including code, styling, front end and backend databases belong to Appetra Ltd and are the intellectual property of Appetra Ltd. No part of our system may be reproduced and no code may be copied without the express written consent of Appetra Ltd.
Limitations and exclusions of liability
By using Appetra CRM or any content, information or services provided by Appetra Ltd you agree that Appetra Ltd shall not be liable to you, any other users of this system, your organisation, your clients, your suppliers or any other third parties for:
Losses arising as a result of a force majeure
Any loss of profits or anticipated savings
Any loss of revenue or income
Any loss of use or production
Any loss of business, contracts or opportunities
Any special, indirect or consequential loss or damage
Any loss of data
Any damage to hardware such as phones, tablets, computers or any other hardware
Any damage to any software
Disclaimer
By using Appetra CRM you do so entirely at your own risk or the risk of the entity you represent. You accept that Appetra Ltd is not liable for any harm or loss such as those set out in the limitations section of this agreement or any other negative outcomes or consequences that may result to you or your entity as a result of using Appetra CRM. You accept that there may be bugs within the system. Appetra cannot guarantee that the system will be available at all times or will be error free. This terms of services document supersedes any other material and no communication, advice or information from Appetra Ltd or any of its employees or representatives whether written or spoken or on our website will ever override the conditions in this Terms of Service document and any modified or updated version of it.
Indemnification
You agree to indemnify and hold harmless Appetra Ltd, its officers, directors, employees, suppliers, and affiliates, from and against any losses, damages, fines and expenses (including attorney's fees and costs) arising out of or relating to any claims that you have used any of Appetra Ltd services including our CRM and website in violation of another party's rights, in violation of any law, in violations of any provisions of the Terms, or any other claim related to your use of the Services, except where such use is authorized by Appetra Ltd.
